Our Terms and conditions:
Subject to the terms of this Agreement, and contingent on Customer’s satisfaction of Africa Digital Media Studios (ADMS)’s vendor approval requirements, Africa Digital Media Studios (ADMS) agrees to provide digital video distribution licensing services described in the Order for the fees stated in the Order.
The initial service term of the Agreement shall begin on the date that Africa Digital Media Studios (ADMS) generates an e-mail message to vendor announcing the activation of the vendors account (the “Service Commencement Date”) and shall continue for the number of months stated in the Order (the “Initial Term”). Upon expiration of the Initial Term, this Agreement shall automatically renew the same length as the Initial Term (each a “Renewal Term”) unless Africa Digital Media Studios (ADMS) or vendor provides the other with written notice of non-renewal at least ten (30) days prior to the expiration of the Initial Term or the current Renewal Term, as applicable.
The Initial Term and any Renewal Term may be referred to collectively in this Agreement as the “Term.” a) License fees shall be payable monthly, quarterly, semiannually or annually as indicated on the Order, beginning on the Service Commencement Date.

License Fee Payment:
ADMS will calculate, report and pay the License Fees in arrears within ninety (90) days after the completion of the applicable calendar month. Payment may be withheld until you have reached the minimum threshold in accrued License Fees/commissions for the marketplace all data will be shared for every asset.
Africa Digital Media Studios will can also act as an agent representing your content on other platforms and would be tasked with aggregating content on those platforms. If you would like to sign up to this service ADMS will retain a 10% commission on all payments for preparing and managing the content on these platforms. The agent will also be negotiating for other deals in other regions and will inform you as soon as such opportunities arise.
Delivery Spec Sheet:
The platform supports video resolutions up to 1920x1080p. The software automatically adjusts the delivery streams to a resolution appropriate to the customer’s device and connection speed. If you submit a 1080p HD video, and a customer streams it in SD, it will be automatically adjusted. For best results, please provide your highest quality video source. After initial publishing, any revised asset or trailer, must be at the same resolution.

Note: 4K/UHD video isn’t currently supported.
The software automatically adjusts the delivery streams to a resolution appropriate to the customer’s device and connection speed. After initial publishing, if you submit a revised mezzanine(asset) or trailer, it must be at least the same resolution.
Caption Frame Rates and Drop/Non-Drop Values
There are multiple frame rates that can be used when creating captions files depending on the type of content and standards for your region. Non-drop frame timecode means that for every frame of video, there is a corresponding timecode number. The timecode increments without any compensation. In almost all cases, timecode is non-drop frame. The following caption frame rates and drop/non-drop values that are supported:
● 23.976 fps NDF (Non-Drop Frame) ● 24fps ● 25fps
Important: Always choose “constant” frame rate instead of “variable” frame rate. Variable frame rate sources will be rejected.
Bitrate (also known as data rate) controls the visual quality of the video and its file size. Bitrate for source files is commonly measured in Megabits per second (Mbps). If your video editing software gives you the option, choose a “variable” bitrate. Best practices for video and audio bitrates vary by video format and resolution. Please see the Codecs and file formats section for suggested bitrates.
Closed Captions; Subtitles:
You will deliver closed captions for all Titles in accordance with ADMS’s technical specifications as provided on the vendor registration page, but in any event, in accordance with applicable law for the Territory. You may not be able to publish a Title via one or more Distribution Modes in certain Territories until ADMS has received closed captions from you.
You will deliver English language versions of the Titles, unless the original version of a Title is not in English, in which case you will deliver (i) either audio descriptions, subtitles or dubbed language tracks and (ii) the title and synopsis information for the Title, in each case, in at least one core language identified by ADMS for the Territory.
ADMS may create, insert and distribute closed captions, audio descriptions, dubbed language tracks and subtitles for Titles in any language and may use or distribute any such closed caption, dubbed language track, subtitle file or audio description it creates in any Territory. In connection with such creation, ADMS will use its reasonable commercial efforts to ensure that such closed caption and subtitled versions reflect the original version of the Licensed Title.
Geo-filtering; Access Controls:
ADMS will utilize geo-filtering techniques and digital rights management technology as may be approved by at least one major studio in connection with its distribution of titles via the Service. Content Provider agrees that ADMS shall be deemed to be exercising the rights granted herein solely within the territory as long as ADMS complies with the foregoing. Content Provider acknowledges that ADMS makes no representation as to the efficacy of any geo filtering technique or digital rights management technology it employs and agrees that ADMS shall not be responsible for the failure of such.
Content Provider/vendor acknowledges and agrees that: (i) Content Provider’s ability to suspend distribution of Titles on the Service shall be Content Provider’s sole and exclusive right and remedy, and ADMS’s sole and exclusive obligation, for any circumvention or failure of any geo filtering techniques or digital rights management technology used by ADMS on the Service for Titles and (ii) Content Provider shall not be entitled to any other remedies, including without limitation monetary damages, in connection therewith.
